On October 31, 2005, EUROM BANK S.A. announces the signing of an Agreement between Leumi le-Israel Bank and Kolal Bv on taking over the main stake held by Kolal Bv in EUROM BANK S.A.
On October 31, 2005 EUROM Bank management was informed on the following:
1. On October 31, 200 Leumi le-Israel Bank and Kolal BV the main shareholder of EUROM BANK, signed an Agreement in Bucharest, Romania whereby Leumi Bank was going to acquire from Kolal shares representing 95% from EUROM BANK registered capital.
2. In exchange for the acquired shares Leumi Bank is going to pay at the transaction closing an amount of 41.692.025 USD. Moreover, according to the terms of the Agreement it was settled that Kolal is entitled to get additional provisions, which are the subject of the stipulated terms in the Agreement, regarding the future profitability of EUROM BANK.
3. Concluding of the transaction is the result of fulfilling the terms set out in Agreement, which includes, among other things, getting the Romanian and Israeli authorities approvals as well as delisting Eurom Bank from the stock market in Romania.
4. There is also important to mention that according to the terms of the Agreement, Kolal has granted Leumi Bank an option for buying within 6 months after carrying out the transaction, additional Eurom Bank shares, within the limit held by Kolal, in accordance to the terms stipulated in the taking over Agreement.
